Record Cabinet License Agreement
Applies to Record Cabinet version 1.x
This agreement is between you and Sooner State Software ("we", "us") and covers the Record Cabinet software, its installer and its documentation (together, "the Software"). By installing or using the Software, you accept this agreement. If you do not accept it, do not install or use the Software.
1. Trial
Each installation starts with a 30-day trial with every feature. The trial begins when Record Cabinet first creates its database, and reinstalling the Software does not restart it. When the trial ends without an activated license key, the installation becomes read-only as described in section 4.
2. License
When you buy a license key, we grant you a perpetual, non-exclusive license to use Record Cabinet version 1.x on one installation. An installation is one web server running Record Cabinet against its database, together with the repositories attached to it. The number of people who use an installation is not limited.
The license covers every 1.x release. It does not cover version 2.0 or later, which are sold separately.
A license key may be activated on only one installation at a time. A second server, including one used for testing or as a standby, needs its own key. You may move your license to a different server by deactivating it on the old one and activating it on the new one.
The license is not transferable. You may not sell, rent, lend, sublicense or give the license or the key to anyone else.
3. Activation and the license check
You activate a key on the License tile in Record Cabinet. Activation, deactivation and a check each time the application starts contact the reseller's license service over HTTPS, and send only:
- when you activate a key, the license key and the server's computer name;
- at each application start and when you deactivate a key, the license key and its activation id.
Nothing else is contacted, and no documents, usage data or other information about you or your data is sent. If the license service cannot be reached at start, Record Cabinet keeps its last known license state.
4. Read-only state
An installation becomes read-only when the trial ends without an activated key, or when the reseller reports the key as refunded, disabled or otherwise invalid. In the read-only state no new documents can be filed and existing records cannot be changed. Your documents remain in your own SQL Server database and storage folders, and you can still search, view and download them indefinitely. Activating a valid key restores full use without reinstalling.
5. Purchase and refunds
License keys are sold through an online reseller acting as the seller of record. The reseller takes payment, collects any sales tax and issues receipts under its own terms, shown at checkout. We never see your payment details.
You may request a full refund for any reason within 14 days of purchase, through the reseller. A refund disables the key, and the installation becomes read-only at its next start.
6. Restrictions
You may not:
- reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits despite this restriction;
- remove, disable, bypass or interfere with the license check, the trial or the read-only state;
- alter license or trial information stored in the database;
- copy or distribute the Software, or make it available to third parties as a hosted service;
- remove copyright or other proprietary notices.
The Software is licensed, not sold. We keep all rights not expressly granted in this agreement.
7. Your data and backups
Your documents and database are stored on your own systems, and we have no access to them. You are responsible for backing up your database and storage folders and for keeping those backups secure. We are not responsible for lost or damaged data.
8. No warranty
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. We do not warrant that the Software will be error-free or uninterrupted, or that it will meet any records-retention or legal requirement that applies to you.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM THE SOFTWARE OR THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE LICENSE. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, PROFITS OR BUSINESS, EVEN IF ADVISED OF THEIR POSSIBILITY.
10. Termination
This agreement ends automatically if you breach it. You must then stop using the Software and remove it. Sections 6 through 11 survive termination.
11. Governing law
This agreement is governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules.
